Such representation includes the drafting and negotiating of purchase and sale agreements, tenant leases, management agreements, options, rights of first offer and rights of first refusal, construction agreements, architect’s agreements, ground leases and easements. We have worked extensively in the area of condominium development and conversion in both commercial, residential, and mixed-use projects.

We have proven expertise in the areas of land conservation and affordable housing. Our team represents conservation trusts dedicated to protecting the wildlife habitat and ecological integrity of our landscape. We aid numerous developers in furthering public policy by creating affordable housing projects in our communities. In these capacities, we have formed strong working relationships with regulating entities to further the shared mission of promoting the welfare of our citizens and our environment.

Beveridge & Diamond has significant experience not only in real estate, but also in environmental, and litigation matters. That experience enables us to assist clients in structuring and negotiating sophisticated financing and refinancing, including participation loans and credit enhancement techniques.  As the recognized national leader in the environmental arena, our firm has vast experience in ensuring that adequate environmental reviews are completed and in dealing with issues relating to wetlands, hazardous wastes, leaking underground storage tanks, zoning, subdivision and infrastructure requirements. We are familiar with state laws requiring environmental investigation and remediation upon transfer of ownership, such as the New Jersey ISRA law. Our lawyers have extensive experience in drafting and negotiating indemnification and liability provisions in purchase and sale agreements, secured loan documents and leases. As a result, we frequently assist corporations, individuals and other law firms in the preparation and review of environmental provisions in such agreements.

Among other matters, attorneys at Beveridge & Diamond have represented clients in the following transactions:

  • analyzed a portfolio of nearly 30 commercial office properties owned by a municipal government, preparing detailed lease binders that allow the municipality to keep track of the terms of its complicated ground leases, including rent and rent escalation provisions. The Firm negotiated and handled the sales of several of these properties, including the drafting of all purchase and sale documentation.  We also prepared lease amendments to accommodate changes in tenants’ use of the property, and managed routine approvals such as estoppel agreements in connection with tenant financing;
  • successfully negotiated a settlement worth $52 million on behalf of a county government in a major tax and lease dispute with commercial lessees of county-owned real property;
  • as Massachusetts real estate counsel to a national corporation, we have worked out a multi-million dollar settlement arising from claims of indemnity provisions in recorded deeds;
  • for a cosmetic manufacturer seeking secured financing, we negotiated environmental representations and liability provisions in the loan documents;
  • on behalf of a large municipality, we handled the negotiation and sale of numerous surplus properties, generating significant income for our client;
  • represented a municipal buyer in a $19,000,000.00 public/private purchase of 360 acres of land, funded through public and private contributions;
  • on behalf of a municipality, negotiated and closed an $11,500,000.00 purchase of real and personal assets of private water company with assets in two states;
  • represented a municipality in the sale of land and abandoned mill buildings for residential redevelopment to anchor downtown revitalization plan;
  • have represented numerous individuals in the purchase and sale of homes, condominium and cooperative apartments and undeveloped land;
  • structured a complex transaction for the development of a residential project involving conservation restrictions and airport facilities.
